PAPER 3 – LEGAL & REGULATORY ASPECTS OF BANKING

MODULE A – REGULATIONS AND COMPLIANCE

Legal Framework of Regulation of Banks: This unit contains concepts such as Business of Banking; Constitution of Banks; (RBI Act) Reserve Bank of India Act, 1934; Banking Regulation Act, 1949; Reserve Bank of India’s role; Control over Co-operative Banks; Govt. as a Regulator of Banks; Regulation by other Authorities, etc.

Control over Organization of Banks: In this unit, we will be understanding about the Licensing of Banking Companies; Licensing of Branches; Paid-up Capital & Reserves; Shareholding in Banking Companies; Banking Companies’ Subsidiaries; Board of Directors; Control over Management; Chairman of Banking Company; Appointment of Additional Directors; Restrictions on Employment; Corporate Governance; Directors & Corporate Governance, etc.

Financial Sector Development Council: It contains the role & functions of the Financial Sector Development Council.

MODULE B – LEGAL ASPECTS OF BANKING OPERATIONS

Different Types of Borrowers: This unit walks you through the different kinds of Borrowers including Limited Liability Partnerships (LLPs).

Types of Credit Facilities: What are the different types of Facilities like Cash Credit (CC), Overdraft (OD), Demand Loans (DL), Term Loans (TL), and Bill Finance are defined in this unit.

Secured & Unsecured Loans, Registration of Firms and Incorporation of Companies: This unit defines secured & unsecured loans and talks of the need for Secured Loans; Registration of Firms; Consequences of Not Registering of Firms; Incorporation of a Company, etc.

Indemnities: The unit talks all about the what is the Contract of Indemnity; Characteristics of Contract of Indemnity & Guarantee; Obligations of a Banker; Precaution & Rights of an Indemnity Holder; Scope & Application of Indemnity Contracts to Banks.

Bank Guarantees: This unit tries to define the kinds of Bank Guarantees, how it is Banker’s Duty to Honor Guarantee; Precautions are required to be taken for the Issuance of Bank Guarantee and for Payment under Bank Guarantee; Guarantee Invocation & Enforcement.

Letters of Credit: LC contains the General Considerations of Letters of credit; who are the Parties to a Letter of credit; Types of LCs; Documents under a Letter of credit; Banks obligation for payment of Letter of credit; Uniform Customs and Practice for Documentary Credits 600 (UCPDC 600).

Deferred Payment Guarantees: This unit talks about the purpose of DPGs and Methods of Payment under DPGs.

Laws Relating to Bill Finance: You will go through the Classes of Bills & Laws Governing Bills; Classification of Bills; Bill Finance Categories; Bill Finance & Banker’s Legal Position.

Various Types of Securities: This unit introduces you to the Types of Securities; Escrow as well as Trust and Retention Arrangements etc.

Laws Relating to Securities and Modes of Charging – I: All about Mortgage, its Types and how they are enforced, etc is given in this unit.

Laws Relating to Securities and Modes of Charging – II: It contains concepts such as Lien; Pledge and Hypothecation etc.

Registration & Satisfaction of Charges: These units tell the meaning of Charge, Procedure for the Registration of Charge; the effect of Non-registration of Charges; Various provisions of Law relating to Registration of Charges, etc.

Case Laws on Responsibility of Paying Bank: The unit will consist of Case Laws on Negotiable Instruments Act (NI Act) & Paying Banks; the Liability of Paying Banker; Payment in due course; Payment in Good Faith; whether Payment under Mistake is Recoverable or not, etc.

Case Laws on Responsibility of Collecting Bank: It tells us all about how Collecting Bank has Statutory protection & Duties of Collecting Bank.

MODULE C – BANKING RELATED LAWS

The Recovery of Debts and Bankruptcy Act, 1993 (RDB Act): You will go through the various objectives of the Act, the Constitution of the Tribunals (DRTs), Procedures & Enforcement process, etc.

Securitization and Reconstruction of Financial Assets and Enforcement of Securities Interest Act, 2002 (SARFAESI): this unit includes the concepts on Constitutional Validity; the Definitions of terms under the Act; Central Registry; Regulation & Reconstruction; Enforcement of Security Interest; Offences & Penalties for defaults and some other Miscellaneous Provisions.

Banking Ombudsmen Scheme: The scheme tells us what is the purpose of the scheme; the Extent of its applicability; Definitions; Establishment; Powers & Procedure for Grievance Redressal. 

Bankers Books Evidence Act, 1891: The act tells us all about the applicability of the act; Definitions, and some Important Provisions under it.

The Legal Services Authorities Act, 1987: This Act takes us through the system of Lok Adalats – the Organization; the Jurisdiction; the Disposal of Cases and Awards, etc.

The Consumer Protection Act, 1986 and CERSAI (Central Registry of Securitisation Asset Reconstruction and Security Interest of India): This unit Introduces us to the ACT, the Extent & various Definitions & Objectives of CERSAI; Consumer Protection Councils; Consumer Disputes Redressal Agencies; and important provisions of CERSAI – Central Registry of Securitisation Asset Reconstruction and Security Interest of India, etc.

The Law of Limitation: Limitation Act defines what limitation is, how it is computed & some Important Provisions that are given in the schedule to the Limitation Act.

Tax Laws: It includes taxes like Income Tax Act; Commodity Transaction Tax; Service Tax Act, Negotiable Instruments Act, 1881 

Payment & Settlements Systems Act, 2007: The Act provides us the information regarding the applicability of the Act; definitions & some Important Provisions.

MODULE D – COMMERCIAL LAWS WITH REFERENCE TO BANKING OPERATIONS

Indian Contract Act, 1872: This unit defines the meaning & some essential terms & provisions of the contract and contains concepts like Contract of Indemnity & Rights of Indemnity Holder; Contract of Guarantee; Contract of Bailment; Contract of Pledge and Contract of Agency. 

The Sale of Goods Act, 1930: Different Features of the Act, concepts like Sale & Agreement to Sell, Express & Implied Contracts; Conditions and Warranties attached to a good; Rights of Unpaid Seller are among other topics that are included in this unit.

Indian Partnership Act, 1932: This act defines various Terms & Types of Partnerships; Relation of partners to one another & to 3rd Parties; how does a Minor gets admitted to the benefits of partnership; how the firm is Dissolved; Effect of non-registration; Limited liability partnerships (LLP) formation, registration, rights, and liabilities of partners.

Definition and features of a company: You will read the definition & characteristics of a Company and differences b/w Company & Partnership

The Companies Act, 1956 (Now Companies Act, 2013): This unit mainly includes the definitions of various terms that come under this act, Features & Types of companies; Memorandum and Articles of Association (MOA & AOA); the concepts such as Doctrine of Ultra Vires, Constructive Notice, Indoor Management; Membership of Company, Acquisition, Cessation, Registration, Prospectus; Rights & Duties of Members, Directors; Winding up of Companies, etc.

Foreign Exchange Management Act, 1999: FEMA, 1999 contains some important Terms that are defined under the Act; Powers of Reserve Bank of India, Regulation & Management of Foreign Exchange; Directorate of Enforcement.

Transfer of Property Act, 1882: This includes all about the Sale, Mortgage of Immovable Property; Sale with & without court intervention; Types of Mortgages; Lease of Immovable Property, etc.

The Right to Information Act, 2005: RTI Act talks about its applicability; Definition and Important Provisions, etc.

Right to Information and Obligation of Public Authorities: This unit contains the Obligations; Procedures of Disposal; Appeal; Orders and Penalties etc.

The Prevention of Money Laundering Act, 2002: PMLA, 2002 tells us the obligations, which records are to be maintained; Procedure for Maintaining & Furnishing Information; Maintenance & Verifications of Records of Identity of Clients.

Information Technology Act, 2000: You will read about definitions; Certifying Authorities; E-Governance; Digital Signature Certificates; Penalties; how one can Appeal under this Act.
